Agreement to terms
Who these terms apply to and what they mean

These Terms of Service (“Terms”) are a legally binding agreement between you and TextHours LLC, a Nevada limited liability company doing business as TextHours (“TextHours”, “we”, “us”, or “our”). By creating an account, accessing the TextHours dashboard, or interacting with our service via SMS, you agree to be bound by these Terms.

These Terms apply to all users of the TextHours platform, including Employers — businesses and individuals who create TextHours accounts — and Contractors — individuals who interact with TextHours via SMS at the invitation of an Employer.

If you are using TextHours on behalf of a business, you represent that you have the authority to bind that business to these Terms. If you do not agree to these Terms, do not use TextHours.

Description of service
What TextHours does and does not do

TextHours provides a software platform that enables SMS-based time tracking for contractors, automated timesheet generation from SMS data using AI-assisted natural language processing, invoice creation based on approved timesheets, ACH payment processing, and expense tracking via SMS.

TextHours is a software tool, not an employer, staffing agency, payroll processor, or financial institution. We do not employ your contractors, determine their employment classification, withhold taxes, or provide legal, tax, or financial advice. You are solely responsible for correctly classifying workers, complying with applicable labor laws, and fulfilling any tax obligations arising from payments made through TextHours.

Important: TextHours does not determine whether your workers are employees or independent contractors. That classification is your legal responsibility. Misclassification of workers can have serious legal and tax consequences. Please consult a qualified attorney or accountant if you are unsure.

Account registration and eligibility
Who can use TextHours and what you're responsible for

To create a TextHours account you must be at least 18 years old and have the legal capacity to enter into a contract. By registering, you represent that all information you provide is accurate and complete.

You are responsible for maintaining the security of your account credentials. You must notify us immediately at support@texthours.com if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized use of your account.

SMS messaging and TCPA compliance
Your obligations when inviting contractors to receive text messages

By using TextHours to send SMS invitations to contractors, you represent and warrant that you have a legitimate business relationship with each contractor you invite, you have obtained any consent required under the Telephone Consumer Protection Act (TCPA) prior to inviting contractors, and you will not use TextHours to send unsolicited messages or spam.

TextHours sends an opt-in confirmation SMS to each contractor before they are added to your team. A contractor is not active until they reply YES to confirm consent. Contractors may opt out at any time by replying STOP.

You agree to indemnify and hold harmless TextHours from any claims, penalties, or damages arising from your failure to comply with SMS laws, including TCPA violations.

Message and data rates may apply. Standard carrier rates for SMS messages apply to both Employers and Contractors. TextHours is not responsible for carrier charges incurred by any party.

Third-party services and integrations
The platforms we use and your obligations with respect to them

By using TextHours, you agree to comply with the applicable terms and acceptable use policies of the following providers:

Twilio SMS delivery platform. You may not use TextHours to send messages that would violate Twilio's Messaging Policy and Acceptable Use Policy, including spam, illegal content, or messages to numbers on the Do Not Call Registry without proper consent.

OpenAI AI-powered SMS parsing. Message content is transmitted to OpenAI's API to convert natural language into timesheet entries. You may not use TextHours to send content that would violate OpenAI's Usage Policies, including hate speech, illegal content, or attempts to manipulate the AI system.

Plaid Bank account linking and verification. By connecting a bank account through TextHours, you agree to Plaid's End User Privacy Policy and Terms of Service. TextHours does not store your banking credentials.

Stripe Subscription billing. Payment for TextHours plans is processed by Stripe. By entering payment information, you agree to Stripe's Terms of Service.

Payments and fees
Subscription pricing, ACH fees, and payment terms

Subscription plans: TextHours offers Free, Pro, and Premium subscription plans as described on our pricing page. Paid plans are billed monthly or annually in advance. All fees are stated in US dollars and are non-refundable except as required by law.

ACH payment fees: TextHours charges a fee per ACH payment processed through the platform. Current fee rates are displayed in your account dashboard. Fees are subject to change with 30 days written notice.

ACH transactions: TextHours facilitates ACH payments between Employers and Contractors but is not a bank or money transmitter. ACH transactions are subject to standard processing times and may be delayed or reversed by the ACH network for reasons outside our control. TextHours is not liable for delays caused by the ACH network, your bank, or your contractor’s bank.

Acceptable use
What you may not use TextHours for

You agree not to use TextHours to:

  • Violate any applicable law or regulation, including labor laws, tax laws, TCPA, or anti-money-laundering laws
  • Process payments for illegal goods or services
  • Send unsolicited, harassing, or abusive SMS messages
  • Misrepresent your identity or your contractors’ identities
  • Submit false or fraudulent timesheet or expense data
  • Reverse engineer, decompile, or attempt to access our source code
  • Scrape or extract data from TextHours in bulk
  • Use TextHours as a money transmission service for purposes unrelated to legitimate contractor payments

Violation of this section may result in immediate termination of your account without refund.

Data and privacy
How your data is handled

Your use of TextHours is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using TextHours, you consent to the data practices described in our Privacy Policy, including the transmission of SMS message content to OpenAI for parsing and the processing of banking information through Plaid.

Disclaimers and limitation of liability
What we are and are not responsible for

TextHours is provided “as is” and “as available” without warranties of any kind. We do not warrant that the service will be uninterrupted or error-free, or that AI-parsed timesheet data will be accurate. You are responsible for reviewing and approving all timesheet entries before payment.

To the maximum extent permitted by law, TextHours LLC’s total liability to you for any claim arising from your use of TextHours shall not exceed the greater of (a) the total fees you paid to TextHours in the 12 months preceding the claim, or (b) $100 USD. In no event shall TextHours be liable for indirect, incidental, special, consequential, or punitive damages.

Important: TextHours is a software tool that assists with time tracking and payment. We are not responsible for labor law compliance, worker classification, tax withholding, or the accuracy of hours claimed by contractors. You are solely responsible for verifying timesheet accuracy before approving payment.

Indemnification
Your responsibility to protect us from claims arising from your use

You agree to indemnify, defend, and hold harmless TextHours LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms, your violation of any applicable law including TCPA violations, any dispute between you and a contractor regarding hours worked or payment amounts, or your failure to comply with labor laws, tax laws, or worker classification requirements.

Termination
How accounts can be closed

By you: You may close your TextHours account at any time by contacting us at support@texthours.com. Closing your account does not entitle you to a refund of any prepaid subscription fees.

By us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required to do so by law or by a third-party service provider. We will provide notice where reasonably possible.

Effect of termination: Upon termination, your right to access TextHours ceases immediately. Outstanding ACH payments that have already been initiated will continue to process.

Governing law and disputes
How disagreements are resolved

These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms shall first be subject to good-faith negotiation. If negotiation fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in Clark County, Nevada. Each party waives the right to a jury trial and the right to participate in a class action.

Changes to these terms
How we'll notify you of updates

We may update these Terms from time to time. When we make material changes, we will update the effective date at the top of this page and notify Employer account holders by email at least 14 days before the changes take effect. Your continued use of TextHours after changes take effect constitutes your acceptance of the updated Terms.
